Creditos

1. Acceptance of the Terms

By using the Credits Mini App (hereinafter, the "Service"), the user (hereinafter, "the User") accepts these Terms and Conditions, as well as the Terms and Conditions of the Credits service provider. If the User does not agree with them, the User must not use the Service.

2. Definitions

For purposes of these terms and conditions, the following terms shall have the meanings set forth below:

Digital Asset Credit Agreement: Means the agreement entered into directly between the User and the Provider, which contains the terms and conditions applicable to the Credit.

Credit Bureau: Means any one or more credit information companies duly authorized to operate as such.

Credits: Means the digital asset credit that the Provider grants to the User through the Credits Mini App, pursuant to these Terms and Conditions and the Digital Asset Credit Agreement entered into with the Provider, the amount of which shall not exceed the maximum amount approved by the Provider.

Disbursement Date: Means the date on which the Digital Asset Credit is transferred through the Digital Asset Network to the User's wallet.

Credit Term: Means the period between the applicable Disbursement Date and the Selected Date and/or the applicable Maximum Payment Date.

Payment Date: Means the date selected by the User to repay the Digital Asset Credit granted to the User.

Maximum Payment Date: Means the date falling sixty-one (61) days after the applicable Disbursement Date, which shall in each case be the deadline to pay, in a single installment, the Total Amount Due before the Late Fee is charged.

For all purposes, the definitions set forth by the Provider, Tala Guatemala, S.A., in the Digital Asset Credit Agreement entered into with the User shall also be taken into account.

3. Description of the Service

The Credits Mini App is a feature of the El Dorado platform that allows Users to access short-term Credits, granted in digital dollars (USDT), through a Credits service provider, namely Tala Guatemala, S.A. (hereinafter, "the Provider" or "Tala").

The amount and term of the Credit shall be defined by the User within the maximum limits determined by the Provider as a result of the corresponding credit assessment and/or analysis. The User shall expressly accept, within the App, the conditions under which the Credit is granted. Notwithstanding the foregoing, the User understands that the maximum payment date of the Credit shall never exceed sixty-one (61) days from the applicable Disbursement Date.

El Dorado acts solely as a technology bridge between the User and the Provider, with no direct involvement in the granting, assessment, or terms of the credits. The Provider is responsible for managing the entire lifecycle of the credit offered through the Credits Mini App, including funding, credit assessment, coordination of disbursements, and the application of the corresponding charges and taxes.

By accepting these Terms and Conditions, the User enters into an independent relationship with each of the parties (El Dorado and the Provider). The specific terms of the credit granted shall be governed by the Digital Asset Credit Agreement that the User enters into directly with the Provider upon approval of the User's application.

4. Representations

By accepting these Terms and Conditions, the User represents and agrees that the User:

●  Is a natural person over eighteen (18) years of age, with sufficient legal capacity to accept these Terms and Conditions.

●  Has read, understood, and accepts these Terms and Conditions, as well as those of the Provider's Digital Asset Credit Agreement, its Privacy Notice, and the specific conditions set forth in the Credit Summary.

●      Will use the Credit exclusively for lawful purposes, and the funds used to repay it come from lawful activities.

5. Geographic Scope

The availability of the Credits Mini App shall be limited to the countries that El Dorado and the Provider determine, in their sole discretion and at any time, and such availability may be modified, expanded, or restricted without prior notice. Enabled countries will be indicated within the application.

6. Operation of the Service

The User must access the Credits Mini App and apply for the credit by completing any additional information requested, if necessary. Such application will be forwarded to the Provider to carry out the corresponding credit assessment and/or analysis. The response time for such assessment will depend exclusively on the Provider's internal processes, and El Dorado has no control or influence over such timeframe. Once the Provider completes the assessment, El Dorado will notify the User as follows:

-        If, as a result of such assessment, the Provider approves the credit, it will indicate to the User, through the Mini App, the maximum amount (cap) and the Credit Term for which the User is eligible. Based on that result, the User may apply for the credit up to the maximum amount and term indicated, or for a lower amount or shorter term, as needed.

Once the User defines the amount in digital dollars (USDT) and the desired repayment term within the authorized limits, El Dorado will display the fees applicable to the transaction prior to confirmation of the application. The User's confirmation of the application constitutes full acceptance of the credit terms displayed.

-        If the application is rejected, El Dorado will inform the User when the User may apply for a new credit.

Clarification: By applying for a credit through the Credits Mini App, the User expressly and irrevocably authorizes El Dorado to share with the Provider the personal, financial, and identification information necessary for the Provider to carry out the credit assessment and/or analysis and the comprehensive management of the requested credit. The User's refusal to grant this authorization will prevent access to the Service.

The decision to grant or deny the credit rests exclusively with the Provider, which will make it in accordance with its own credit assessment criteria and policies. El Dorado does not take part in such decision nor assume any liability for its outcome. The Provider may reject any Credit Application if it determines, in accordance with applicable law, that the User does not meet the age, geographic location, or residency requirements set forth in its Digital Asset Credit Agreement.

7. Disbursement

Once the User defines the amount and term of the credit and confirms the application, it will be forwarded to the Provider for processing. Once the credit is approved, the amount will be disbursed to the User's main El Dorado wallet.

The User acknowledges and agrees that the Credit shall be deemed disbursed at the moment the corresponding Amount is credited to the User's main El Dorado wallet, which shall constitute proof of receipt, the User hereby granting the Provider the broadest receipt legally available. The User expressly, unconditionally, and irrevocably agrees to pay the Provider the Total Amount Due, in accordance with these Terms and Conditions and the Provider's Digital Asset Credit Agreement.

8. Repayment of the Credit

The User must repay the Credit directly from the User's balance on the Platform, within the term established in the application, either by paying the obligation in full on the Payment Date or, where applicable, on the Maximum Payment Date, or by making full or partial early payments at any time before such dates, without penalty.

In the event of full early repayment, the User must pay the total outstanding balance, calculated as of the date the payment is made. The Provider or El Dorado may set a minimum amount for partial early payments, which will be communicated to the User through the Mini App.

Once the early payment is credited, the new total amount payable will be updated. All payments made by the User will be reflected in the payment history.

Payment shall be deemed made when the corresponding amount is credited to the Provider's Wallet in accordance with these Terms and Conditions and the Provider's Digital Asset Credit Agreement. If the Provider does not receive the corresponding payment within the established term, the User may be liable for the Late Fee.

The Provider may, in its sole discretion, reject any new credit application from the User if the User has not paid in full any amount owed under these Terms and Conditions or the Digital Asset Credit Agreement.

El Dorado and the Provider shall be entitled to send reminders, notifications, or any other type of message to encourage the User to make payment.

The sole payment channel shall be the El Dorado App. Any payment made through other means will not be recognized, and the User shall be liable for any loss arising from payments made outside the Platform.

The funds with which the User will cover the payments corresponding to the Credit granted are the User's own property, derived from the User's lawful activities, and for all applicable legal purposes, the User assumes any liability that may arise regarding the origin of the funds used to repay the Credit.

9. Charges and Taxes

9.1. Charges:

In consideration of the services rendered, the Provider shall be entitled to charge the User the following fees. All charges will be visible to the User in the Mini App at all times, in order to ensure transparency of information:

●  Daily Fee: For continued access to the Services necessary to keep the Credit in effect, the User shall pay the Provider a Daily Fee for each day the Credit remains outstanding. It will be calculated by applying the rate indicated in the Credit Summary to the Amount, for each day actually elapsed from the Disbursement Date until the earlier of: (i) full repayment of the Credit; or (ii) the Maximum Payment Date; plus applicable Tax.

●  Service Fee: Upon disbursement of the Credit, the User will be charged a one-time service fee, calculated as the percentage indicated in the Credit Summary for this item, multiplied by the Amount, plus applicable Tax.

●      Late Fee: If the User does not pay the Total Amount Due by the Maximum Payment Date, the User shall pay the Provider, in addition to such amount, the applicable Late Fee, which will be calculated by multiplying the percentage indicated in the Credit Summary by the past-due balance, plus applicable Tax.

The User expressly agrees that the foregoing charges constitute commercial fees for access to the Services and the Digital Assets, and not interest on the loan.

9.2. Taxes:

Applicable taxes will be determined in accordance with applicable law and will be duly disclosed to the User through the Mini App.

All payments the User is required to make under these Terms and Conditions and the Provider's Digital Asset Credit Agreement shall include applicable Taxes. Where any tax must be charged or added to the Credit amount, it will be included in the amount payable by the User and must be paid at the time the corresponding payment is made.

10. Payment Default

10.1. Late Fee

If the User does not pay the Total Amount Due by the Maximum Payment Date, a Late Fee will be charged, calculated as set forth in Section 9.1 of these T&Cs.

Likewise, partial payments made by the User will be applied in the following order:

a) The Service Fee.
b) The accrued Daily Fee.
c) Principal, which will be covered last.

Accordingly, if the User makes early payments, the User may reduce the outstanding principal balance on which the Late Fee is calculated, and thereby the amount of such fee.

10.2 Automatic Debit Authorization

Where applicable, the User acknowledges and agrees that, on the Payment Date or, as applicable, on the Maximum Payment Date, El Dorado may also automatically debit the amount owed from the User's wallet and transfer it to the Provider's wallet.

Clarification: The Late Fee, the order of application of payments, and the debit authority provided for in the preceding sections correspond to the Provider's service terms and are carried out in accordance with its Digital Asset Credit Agreement. The User releases El Dorado from any liability for the collection of these items, since El Dorado acts solely as a technology bridge between the User and the Provider with respect to these provisions.

Furthermore, any tolerance of the User's payment default shall not constitute acceptance of such default by the Provider and/or El Dorado, nor a waiver of the applicable rights or charges, which may be exercised at any time.

11. Assignment

The User agrees that the User may not assign any of the User's rights under these Terms and Conditions or under the Provider's Digital Asset Credit Agreement, transfer any of the User's obligations, subcontract or delegate any of them in whole or in part, or encumber or otherwise dispose of the User's rights or obligations in any other way.

Likewise, the User expressly and irrevocably authorizes the Provider to assign, transfer, or discount, at any time, all of its rights in relation to the User's Credit, of which the User will be timely informed by El Dorado.

12. Acceleration of the Credit

If the Provider decides to terminate the User's Digital Asset Credit Agreement on any of the grounds set forth therein, the Provider may declare any outstanding amount due and payable in advance, such that the corresponding Total Amount Due becomes immediately enforceable, without the need for a court order. The User acknowledges that such decision is governed by the Provider's internal provisions and therefore releases El Dorado from any liability in this regard.

Notwithstanding the foregoing, El Dorado will notify the User of such termination through the means it deems appropriate.

13. Relationship with the Provider

The User acknowledges and agrees that the Provider may contact the User to offer its own services, independently of those offered through El Dorado. In such case, the Provider will act as Data Controller of the User's personal data for such purposes.

14. El Dorado's Disclaimer of Liability

The User acknowledges and agrees that El Dorado is not a financial institution or a credit institution, nor does it directly provide the credit Service offered through the Credits Mini App. El Dorado acts exclusively as a technology bridge enabling integration between the User and the Provider, with no involvement whatsoever in the granting, assessment, approval, denial, terms, rates, charges, or collection of the credit.

Accordingly, El Dorado assumes no liability whatsoever for:

●  The Provider's decision to approve or deny a credit to any particular User;

●  The terms, rates, charges, terms of repayment, or late-payment penalties applicable to the credit, which are determined exclusively by the Provider;

●  Failures, delays, errors, or interruptions originating in the Provider's systems or internal processes, including those related to credit assessment or the disbursement or repayment of the credit;

●  The Provider's breach of its own Terms and Conditions or of the regulations applicable to its activity.

15. Personal Data Protection

The processing of the User's personal data in connection with the Service will be carried out in accordance with El Dorado's Privacy and Personal Data Processing Policy (https://eldorado.io/legal/privacy-policy) and the Provider's Privacy Policy [https://tala.co/privacy-policy/]. Use of the Credits Mini App implies the User's acceptance of both policies.

16. User Responsibilities

The User is solely responsible for the truthfulness, accuracy, and currency of the information maintained on the platform for the credit application. El Dorado shall not be liable for errors in the granting, disbursement, or repayment of the credit resulting from incorrect, incomplete, or outdated information provided by the User.

17. Provider's Terms and Conditions

Use of the Credits Mini App is conditioned upon acceptance of the Provider's own Terms and Conditions, contained in its Digital Asset Credit Agreement. In the event of any conflict between the former and these Terms and Conditions regarding the terms of the credit, the Provider's Terms and Conditions shall prevail.

18. Amendments to the Terms and Conditions

Any amendment, update, or adjustment to the terms of the Service will be notified to the User in a timely manner through the application. The User accepts and acknowledges that it is the User's responsibility to periodically review the application to become aware of such changes. Continued use of this Service, or express acceptance within it, shall be deemed full and binding acceptance of the new terms of the Service.

The User further acknowledges that the Provider may amend its own Terms and Conditions with respect to the Digital Asset Credit Agreement. Any amendment to the Credit Summary will require the User's express acceptance through the "Accept" button within the Mini App. Amendments necessary to adapt the Provider's terms to new regulatory provisions will not require such acceptance and will be notified to the User through the Mini App, where information on the changes will be available. It shall be the User's responsibility to review such terms.

19. General Terms

Use of the Credits Mini App implies full and unconditional acceptance of these Terms and Conditions, as well as the Platform's General Terms and Conditions, available at: https://eldorado.io/legal/terms-and-conditions/

20. Governing Law and Jurisdiction

These Terms and Conditions shall be governed by and construed in accordance with the laws of the Republic of Panama.

Matters relating to the Provider's Digital Asset Credit Agreement shall be governed by the jurisdiction and applicable law that the Provider determines in its own terms, which are separate and distinct from those established herein for El Dorado.

21. Dispute Resolution

Any dispute between the User and El Dorado in connection with this feature shall be submitted to the procedure established in the Platform's General Terms and Conditions. If the dispute requires the Provider's involvement, it will be resolved in accordance with the terms set forth in its Digital Asset Credit Agreement.

22. Requests, Complaints, and Claims

If the User has any question, complaint, claim, dispute, suggestion, clarification, or disagreement regarding balances, transactions, or any other information related to the Service, the User must submit the request through the support channels enabled by El Dorado, clearly and with the information necessary to allow for its proper review.

El Dorado will initially receive and handle such requests in accordance with its customer service procedures. Where the request requires the Provider's involvement, El Dorado will forward it to the Provider for review and handling. Once received, the Provider will provide a timely response and resolve the claim within thirty (30) calendar days, jointly with El Dorado.

Submitting a request, complaint, or claim does not suspend the application of these Terms and Conditions or the Platform's General Terms and Conditions.

22. Contact

For questions or support related to this Service, the User may contact El Dorado through:

●  Email: support.admin@eldorado.io

●  Directly on the El Dorado Platform/App during the hours established by El Dorado.
